Software Terms of Use

End User License Agreement · Last updated: August 27, 2026

These Terms of Use (this "Agreement") govern access to and use of the NCDD Dashboard and any related internal software applications, tools, and integrations provided by North Country Directional Drilling ("NCDD," "we," "us," or "our") (collectively, the "Software"). By accessing or using the Software, you agree to this Agreement. If you do not agree, do not access or use the Software.

These terms cover the Software. For terms relating to text messaging, see our SMS Terms of Service. For how we handle information, see our Privacy Policy. For terms that apply to our public website, see our Website Terms of Use.

Who May Use the Software

The Software is private, internal business software. It is made available only to NCDD employees, officers, and authorized contractors and service providers who have been granted an account by NCDD ("Authorized Users"). It is not offered to the general public, and no license is granted to anyone who is not an Authorized User.

License

Subject to this Agreement, NCDD grants each Authorized User a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for NCDD's internal business purposes and only for the duration of that user's authorization. NCDD reserves all rights not expressly granted.

Accounts and Credentials

  • Accounts are issued to a named individual and may not be shared, transferred, or used by anyone else.
  • You are responsible for keeping your credentials confidential and for activity that occurs under your account.
  • You must notify NCDD promptly if you believe your credentials have been lost, shared, or compromised.
  • Access is tied to your role and is adjusted or removed when your role or relationship with NCDD changes.

Acceptable Use

When using the Software, you agree not to:

  • Access, use, or disclose company, project, financial, employee, or client data except as required for your work for NCDD;
  • Copy, export, transmit, or retain company data outside NCDD systems except as authorized by NCDD;
  • Attempt to access accounts, records, or areas of the Software you have not been granted access to;
  • Interfere with, disrupt, probe, or attempt to circumvent the security or integrity of the Software;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent this restriction is prohibited by law;
  • Copy, modify, distribute, sell, lease, or create derivative works of the Software; or
  • Use the Software in violation of any applicable law, regulation, or NCDD policy.

Company Data and Confidentiality

All data accessible through the Software, including project, operational, financial, accounting, employee, and client information, is confidential information of NCDD or its clients. Nothing in this Agreement transfers ownership of that data to any user. Your obligations of confidentiality continue after your access ends.

Third-Party Services

The Software integrates with third-party services in order to function, which may include accounting, payroll, communications, mapping, storage, and fleet or equipment platforms. Where the Software connects to a third-party account, such as QuickBooks Online provided by Intuit Inc., that connection is authorized by NCDD, is used to retrieve or exchange NCDD's own business data, and remains subject to that provider's own terms. NCDD does not control third-party services and is not responsible for their availability, accuracy, or acts and omissions. Connections may be modified or revoked by NCDD or by the provider at any time.

Availability and Changes

The Software is provided on an as-available basis. NCDD may modify, suspend, limit, or discontinue the Software or any part of it, with or without notice. NCDD may also update the Software, including changes that alter features or the way information is presented.

Suspension and Termination

NCDD may suspend or terminate any user's access at any time, with or without notice and with or without cause, including when a user's role or relationship with NCDD ends or when NCDD believes this Agreement has been violated. On termination, the license granted above ends immediately and you must stop using the Software and return or destroy any NCDD data in your possession as directed by NCDD.

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. NCDD DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DATA DISPLAYED IN THE SOFTWARE WILL BE COMPLETE, CURRENT, OR ACCURATE. Information presented in the Software, including financial and reporting figures drawn from third-party systems, is for internal reference and does not replace NCDD's official books and records.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NCDD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Changes to This Agreement

We may update this Agreement from time to time. When we do, we will revise the "Last updated" date above, and material changes will be posted on this page. Continued use of the Software after a change takes effect constitutes acceptance of the updated Agreement.

Governing Law

This Agreement is governed by the laws of the State of Minnesota, without regard to its conflict of laws rules. The state and federal courts located in Minnesota will have exclusive jurisdiction over any dispute arising out of or relating to this Agreement.
